1. General

1.1. The Bitcut service at www.bitcut.com as well as all the content of www.bitcut.com web-site are delivered by Texuna Technologies Ltd. (hereinafter “Texunatech”), whose principal place of business is 30 St. George Street, Mayfair, London W1S 2FH, United Kingdom.

2. Accepting Terms of Service

2.1. By signing up for and/or by using the Bitcut service (hereinafter “the Service”) you agree with these Terms of Service (hereinafter “the Terms”) and express your consent to be bound by the terms and conditions listed below.
2.2. You may not accept the Terms if you are of insufficient age to form a binding contract with Texunatech or if you are a person barred from the Service by the law of the United Kingdom or other countries including the country in which you are resident or from which you use the Service.
2.3. These terms and conditions are the entire agreement between you and Texunatech regarding the use of the Service. No other communication, whether written or oral, will be deemed to supplement or supersede these terms and conditions unless made in writing and signed by both you and Texunatech.
2.4. Please, read the Terms carefully before signing up and/or using the Service.
2.5. Texunatech reserves the right to modify these Terms and at any time upon its own discretion and without prior notice by publishing the new Terms on the Service web-site www.bitcut.com. You agree that any subsequent use of the Service will constitute your acceptance of the modified Terms.
2.6. Texunatech reserves the right to assign this Agreement to its partner or affiliate of at any time without prior notice.

3. Language of the Terms

3.1. You relationships with Texunatech are governed by The Terms in English language. You may be offered a transcription of the Terms in any other language for your convenience, but the English version of the Terms will take precedence should any discrepancies arise between it and the translated version of the Terms.

4. Provision of the Service by Texunatech

4.1. The Service is provided “as is” and “as available”.
4.2. Texunatech makes no express or implied warranty of the quality or suitability of the Service for any purpose.
4.3. Texunatech is constantly improving the Service and therefore reserves the right to change or modify form and nature of the Service without prior notice, though we will try to inform you of essential modifications.
4.4. Texunatech reserves the right to disable your account and terminate provision of the Service due to legal or other reasons without prior notice.
4.5. Texunatech will gather and store your private and other information required for delivering and improving the Service in accordance with Texunatech’s Privacy Policy.

5. Use of the Service by You

5.1. By using the Service you agree to obey any applicable law, as well as rules and other notices provided by Texunatech and to immediately notify Texunatech of any law or security breach related to the Service.
5.2. You are solely responsible for the safety of your password and for passing it to any third party, as well as for the content and use of your account.
5.3. You will provide Texunatech with correct personal and other information required for delivering and improving the Service and you will be responsible for keeping this information up-to-date.
5.4. If you provide us with suggestions or other feedback on the Service. By doing so you grant Texunatech an irrevocable, perpetual, royalty-free, fully paid-up, worldwide license to use such suggestions or feedback for any purpose.

6. Plans and Payment

6.1. After you sign up for the Service you must select a plan. By selecting a plan you agree with these Terms as well as with conditions and limitations of particular plans listed at www.bitcut.com.
6.2. There are three types of plans:
6.2.1. Demo plans are delivered for demonstration and evaluation of the service. By accessing the Service with a demo account you agree with these Terms. You also agree that all the information that you or other people submit under demo plan becomes public and accessible for other people.
6.2.2. Free plans are delivered without any payment. By accessing the Service with a free account you agree with these Terms.
6.2.3. Paid plans are delivered for a fee on a monthly basis. By accessing the Service with a paid account you agree with these Terms as well as with payment conditions including but not limited to the following:
6.2.3.1. You provide us essential information on your credit card or other payment instrument. You guarantee that this information is true and that you are authorised to deliver payment and to use this particular payment instrument.
6.2.3.2. You guarantee that you will promptly update the information required by p. 6.2.3.1 in case of any changes of billing details, credit card expiration or other circumstances essential for payment procedure.
6.2.3.3. You agree to pay Texunatech the amount specified in the payment plan in accordance with the terms of such plan and this agreement. You hereby authorise us to bill you in advance on a periodic basis in accordance with the terms of the applicable payment plan until your account is terminated, and you further agree to pay any charges so incurred.
6.2.3.4. If you dispute any charges you must let Texunatech know within thirty (30) days after the invoice date.
6.2.3.5. Texunatech reserves the right to change pricing for paid plans, in which case we shall notify you by e-mail or on the Service web-site www.bitcut.com at least 30 days before the changes take effect. By using the Service after the price change take effect you agree with the new pricing and authorise Texunatech to further bill you in accordance with the new fee and with the Terms.
6.3. Texunatech reserves the right to change any terms, conditions, details and limitations including, but not limited to: number of users, database storage space, database access speed etc. for any type of plan at its own discretion and without prior notice, with regard to p. 6.2.3.5. of these Terms.

7. Termination

7.1. Texunatech reserves the right to terminate your account for any reason at any time, in which case we will refund the pro-rated, unearned portion of any amount that you have prepaid us.
7.2. You may terminate your account at any time upon ten (10) days prior notice to Texunatech. If you terminate your account and are on a monthly payment plan, we will not refund any amount for the month when you terminated the account, but will not charge you for any subsequent amount.

8. Disclaimers

8.1. You expressly agree that Texunatech will not be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Texunatech has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) the cost of procurement of substitute goods or services resulting from any goods, data, information or services purchased or obtained through or from the Service; (iii) unauthorised access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; (v) termination of your account; or (vi) any other matter relating to the Service. If you are not satisfied with the Service, your sole and exclusive remedy is to stop using it. IN NO EVENT WILL TEXUNATECH BE LIABLE TO YOU FOR ANY AMOUNT IN EXCESS OF THE AMOUNT THAT YOU HAVE ACTUALLY PAID TEXUNATECH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO YOUR CLAIM.
8.2. Texunatech will handle and protect your data according to its Privacy Policy, nevertheless, it does not guarantee that the information won’t be lost, corrupted or inadvertently disclosed. You should take steps to backup and protect critical data and vital information.
8.3. The disclaimers and limitations of liability set forth in these Terms are an essential basis of your contract with Texunatech for the use of the Service.
